Acceptance of Terms
By accessing and using the Growwwdigi website and services, you accept and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services.
These terms constitute a legally binding agreement between you and Growwwdigi. We reserve the right to update or modify these terms at any time without prior notice. Your continued use of our services following any changes constitutes acceptance of the new terms.
Services
Growwwdigi provides digital marketing services including but not limited to social media management, paid social advertising, content and creative production, influencer marketing, and strategy and branding.
All services are subject to availability and may be modified or discontinued at our discretion. We reserve the right to refuse service to anyone for any reason at any time. The specific scope, deliverables, timelines and pricing for services will be outlined in individual service agreements or proposals.
Payment Terms
Payment terms will be specified in each service agreement or proposal. Unless otherwise agreed upon in writing:
- All invoices are payable within 15 days of the invoice date.
- Payments are to be made via bank transfer or other agreed-upon methods.
- Late payments may incur a late fee of 1.5% per month on the outstanding balance.
- Services may be suspended if payment is not received within the agreed timeframe.
- All fees are non-refundable unless otherwise specified in the service agreement.
Intellectual Property
All content, designs, strategies, creative materials and deliverables produced by Growwwdigi during the course of our services remain our intellectual property until full payment is received. Upon complete payment, the client is granted a non-exclusive license to use the deliverables for their intended purpose.
Clients retain ownership of their brand assets, logos, trademarks and pre-existing intellectual property. Growwwdigi will not use client brand assets for any purpose other than delivering the agreed-upon services without explicit written consent.
Confidentiality
Both parties agree to keep confidential all proprietary information, business strategies, client lists, financial data and other sensitive information shared during the course of our engagement. This obligation continues for a period of two years after the termination of our business relationship.
We will not disclose your confidential information to any third party without your prior written consent, except as required by law or as necessary to perform our services.
Limitation of Liability
To the maximum extent permitted by applicable law, Growwwdigi shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, business opportunities or goodwill, arising out of or related to our services.
Our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim during the twelve months preceding the claim.
We do not guarantee specific results from our services, as outcomes depend on many factors beyond our control, including market conditions, competition and client implementation.
Termination
Either party may terminate the service agreement with 30 days written notice. In the event of termination:
- The client is responsible for payment of all services rendered up to the termination date.
- Any outstanding deliverables in progress will be completed or handed over as agreed upon.
- All confidential information will be returned or destroyed as requested.
- Growwwdigi reserves the right to terminate services immediately if the client breaches any material term of the agreement.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in India.
Both parties agree to attempt to resolve any dispute through good faith negotiation before resorting to formal legal proceedings.
